About Us

Industrial Standard Management Company is a specialized operator of industrial ZPIFs, developing direct investment mechanisms for the real sector of the economy.

The company operates at the intersection of state industrial policy and private investment capital. We understand the specifics of Russian manufacturing plants and the needs of investors, are part of the Business Russia ecosystem, and implement projects with the support of the Industrial Development Fund (IDF).

In 2026, the initiative received federal-level support as one of the additional measures to restore growth in manufacturing without burdening the state budget. The management company's team has many years of experience in structuring transactions involving the IDF and in working with regulators.

Direct Investment in Industry through ZPIFs

Our model is built on a closed-end unit investment fund that allows private capital to acquire equity stakes in plants for a pre-agreed term and with clear exit conditions.

Our approach is based on three principles:

  • IDF expert review: Every project undergoes a technical and financial review by the Industrial Development Fund. The share of non-performing assets in the IDF portfolio has been below 2% over 10 years.
  • Capital without collateral: The fund acquires a stake in the enterprise without requiring collateral or personal guarantees. The controlling stake remains with the project initiator.
  • Clear exit: At the end of the investment cycle, the initiator buys back the fund's stake using its own funds or a bank loan with reduced provisioning requirements (Bank of Russia Regulation No. 590-P, as of 1 October 2026).

How State Expert Review and Private Capital Work Together

Three sources of capital: The project is financed through concessional debt funding, the initiator's own funds, and the funds of a closed-end unit investment fund (ZPIF), which makes it possible to achieve an optimal capital structure for the enterprise.

Independent review: Before the fund acquires an equity stake, each project undergoes a comprehensive expert review by the Industrial Development Fund — a technical, financial, and compliance assessment.

Equity participation: The ZPIF acquires a share in the charter capital of the project company as a partner, without requiring collateral or personal guarantees.

Four Stages of the Investment Cycle

Expert review: The project undergoes a comprehensive review by the IDF. In parallel, Industrial Standard Management Company conducts its own analysis of the project's fit with the fund's investment strategy.

Structuring: The terms of the equity investment are agreed, the terms of the shareholders' agreement are set, and the buyback mechanics are defined.
(03)
Investment phase: The enterprise receives concessional debt financing and capital in the form of equity participation. Implementation of the investment program begins.

Exit: At the end of the investment cycle, the initiator buys back the fund's stake using its own funds or by raising a bank loan.
